Job Duties: Vice President with Goldman Sachs & Co. LLC in New York, New York. Execute transactions for companies in the real estate (RE) sector, including managing live deal execution and performing complex financial and business due diligence, and plan, structure, and execute corporate finance transactions in public and private markets, including interviewing senior management, inspecting properties, reviewing strategic operating plans, analyzing historical and projected financial performance. Independently develop and present to CEO and CFO level corporate clients in the RE sector on topics such as strategic alternatives, capital markets activities, and corporate governance issues at board meetings and pitches and on conference calls. Coordinate work product, including coordinating the deal team, reviewing financial modeling work, and presentations prepared for live transactions, corporate board meetings, investment banking pitches and client service projects on corporate finance topics. Direct and review M&A, DCF and LBO modeling, integrated financial statement analysis, and statement modeling. Independently advise corporations on mergers, acquisitions, anti-raid assignments, sell-side and buy-side transactions, debt, and equity financings. Independently advise private equity firms on M&A and financing transactions. Prepare and review drafts of financing and offering documents in conjunction with issuers counsel, underwriters counsel and internal legal counsel for both debt and equity offerings. Review and comment on complex legal documents including merger agreements, fairness opinions, offering documents and stock purchase agreements. Engage in Internal Team Management and Interactions with Cross Functional Teams at the Firm which includes interacting with various product teams to develop and execute investment banking strategies, and reviewing, developing, and structuring diverse financing transactions. Supervise and review memoranda required to gain internal approvals from typical investment banking committees.Job Requirements: Master’s degree (U.S. or foreign equivalent) in Business Administration, Finance, or related field such as Public Policy and three (3) years of experience in offered role or a related role OR Bachelor’s degree (U.S. or foreign equivalent) in Business Administration, Finance, or related field such as Public Policy and five (5) years of experience in offered role or a related role. Prior experience must include three (3) years with Master’s OR five (5) years with Bachelor’s with each of the following: related investment banking experience covering Real Estate clients while at a bulge bracket firm; covering $1bn+ Enterprise Value real estate companies and real estate financial sponsors; developing relationships with key decision makers at investment banking clients; contributing to day-to-day project management and executing large M&A transactions, including preparing deal origination pitch materials, engagement letters and other legal documents for M&A and financing assignments; marketing materials for sell-side transactions such as teasers, confidential information memoranda, and management presentations; roadshow presentations and prospectuses for IPOs and other equity offerings; marketing materials for debt offerings; and publicly filed press releases and investor presentations; performing financial and business due diligence, including interviewing senior management; examining assets involved in the transaction; reviewing strategic operating plans; reviewing legal documents; preparing valuation analyses, being involved with transaction negotiation; analyzing historical and projected financial and operating performance; and preparing Board presentations; liaising with financing, tax, and legal specialists to create appropriate deal structures; evaluating and executing real estate, gaming, leisure, and lodging transactions, including: M&A transactions (acquisition, divestiture, joint venture, and merger advisory; shareholder and anti-raid defense advisory) in excess of $1 billion, for a consolidated M&A transaction volume in excess of $5 billion of announced transactions; equity financings (including IPOs, follow-on offerings, and private placements) in excess of $1 billion; debt financings such as private placements, high yield debt, investment grade debt, and property-level debt in excess of $5 billion; and other advisory on capital structure alternatives such as stock buybacks, special dividends, changes in dividend policy, recapitalizations, and use of corporate derivatives; analyzing a variety of large corporate finance transactions, including debt financings (such as private placements, high yield debt, investment grade debt, and property-level debt), debt prepayment, equity offerings (such as IPOs and follow-on issuances), stock buybacks, corporate derivative transactions, $1bn+ take private transactions and real estate sale-leaseback; analyzing regulatory filings and Wall Street analyst research reports; presenting to client senior executives of public and private companies on various aspects of corporate finance strategy; and developing and reviewing valuation analyses, including discounted cash flow analysis, leveraged buyout analysis, accretion/dilution models and ability-to-pay analysis, public trading comparables, precedent transactions, and sum-of-the-parts analysis, all of which incorporate specialized corporate finance and accounting skills. FINRA Series 79 license required or must obtain within six (6) months of hire. Travel required approximately 10% of the time domestically and internationally for project requirements such as in-person client meetings and due diligence.
